You will also take care to ensure that any fees paid by you for the services provided via the Formation Service are not subject to state income tax filing nexus requirements, unless otherwise specified by you.
If you are a business, you acknowledge and agree that you have sole responsibility for determining whether the Services, Document Materials and/or other information supplied by Collective is accurate or suitable for your purposes. You agree to review any such information before relying on it. You further agree to use your own judgment and expertise in reliance on such information, as well as the judgment and expertise of any other persons you consult with respect to such information.
The Services are provided “as is” and Collective does not warrant that the Services will be error-free or that your use of the Services will be uninterrupted. Collective disclaims all warranties, express or implied, including the warranties of merchantability and fitness for a particular purpose.
In the event of any dispute between you and Collective, you agree that before commencing arbitration proceedings or bringing an action in small claims court, you will personally meet and confer with each other telephonically to attempt to reach a mutually satisfactory resolution (“Informal Dispute Resolution”). You further acknowledge and agree that any good faith informal effort to resolve a disputed matter will result in a prompt and low-cost outcome.
Unless notified otherwise, these Terms will remain in effect until terminated by either you or Collective. You may terminate these Terms at any time by providing written notice to the other party, but if you do so, your right to use the Services will immediately cease and all data and information saved with the Services will be deleted. You agree that upon termination of the Services, you will promptly take down any Content that violates these Terms and will comply with a request from Collective to do so.
